Taylor Wessing advised on MBO in the steel construction industry
The Warsaw team of the international law firm Taylor Wessing advised GS Staalwerken Groep B. V. in connection with the management buyout of shares in Smulders Polska sp. z o.o., a company owned by GS Staalwerken Groep.
Taylor Wessing provided comprehensive legal advice covering preparation of the sale process and negotiation of transaction documentation, including the share purchase agreement and a number of corporate documents. The team also supported the client in the structuring of acquisition financing, which included preparation of the legal documentation for the loan granted to the buyers by GS Staalwerken and the tying in of the loan to bank financing.
